  • Software End-of-Life (EOL) Identification. Some portcos have one-person IT teams and a limited budget to stay on top of rapidly approaching end-of-life announcements. Software that is EOL no longer receives security updates, bug fixes, or vendor support. As an example, these popular Microsoft products reached their end of life on October 14, 2024: Windows 10, Office 2016 and 2019, and Exchange Server 2016 and 2019. If these products are part of the portco’s IT environment, you’ll need to plan on migrating or upgrading. Planning for this investment can be an opportunity to adopt cloud-based solutions, including Microsoft 365.

IT Assessment Enables PE Firm to Renegotiate Purchase Price

A private equity customer approached beiNVENTiV for help during due diligence on a potential portco they had negotiated to purchase. During the assessment, we uncovered several areas where the company had failed to maintain their IT environment:

  • Laptops were 6-12 years old, despite a normal lifespan of 3-5 years.
  • Servers were 10+ years old, and the technology running on those servers included a proprietary application that had not been supported for years.
  • Software was past its end of life, meaning it was not receiving critical security patches and improved features.

The estimated investment needed to bring the portco’s technology to a supported level was approximately $500K. Based on the IT Due Diligence findings, our customer (PE Firm) was able to renegotiate the purchase price lower and had a blueprint for what to address first to reduce risks.

Within three weeks, we found $1M in savings per year by reducing overprovisioning of application licensing, swapping some Microsoft 365 license types for other more cost-effective licenses that still met the portco’s needs, and identifying other areas to eliminate waste or bring in more cost-effective technology.

IT Migrations

When a portco’s systems are too dated, or incompatible with your business processes, or need to be moved to a platform company’ies environment, a migration can address many of the issues uncovered during due diligence. We can help migrate from a legacy system to a modernized system that is better aligned with your investment strategy or we can help migrate the portco onto your platform company’s systems.

If you decide your portco should be migrated to your platform company’s systems, we can help. A common request is to merge environments, and migrate from Google Workspace to Microsoft 365, or vice versa. Another frequent migration initiative is moving from on-premises systems to cloud solutions.

beiNVENTiV was brought in to assist with the IT environment for a 200-person carve-out, where the existing technology was retained by the original parent company. The original scope of the project was to set up the carve-out with the same technology they had been using, which was the lower risk option.

Upon review, the total costs of setting them up with the same large enterprise hardware, software, and cloud usage they had been using exceeded the planned budget.
